Oumy Terms of Use
1. Who we are and what these Terms cover
Oumy is operated by JBX Huddle LLC, a Delaware limited liability company with its principal place of business in Texas. These Terms govern the Oumy mobile application and its App Clip, iMessage, widget, and Siri features, oumy.app, the pay pages at pay.oumy.app, accounts, splits, requests, reminders, friend loans, friendly bets, Oumy Plus, and related support services (collectively, the Services).

2. Acceptance and electronic records
By creating an account, selecting an action that is accompanied by a conspicuous link to these Terms, or using the Services after being given notice of these Terms, you agree to them and acknowledge the Privacy Policy. A friend who only opens a pay page is bound by the provisions that reasonably apply to that use.
You consent to receive records electronically. You may retain a copy using normal device or browser functions. Transactional account, request, payment, safety, and security messages are not marketing messages.
2.1 Controlling requirements and order of precedence
If a provision of these Terms directly conflicts with a controlling requirement, the following order applies only to the extent of that conflict: (1) applicable federal, state, and local law; (2) a mandatory Apple or other platform term or policy that lawfully applies to the specific transaction or feature; (3) feature-specific terms you accept in the app, such as a friend-loan agreement; and (4) these Terms and incorporated Oumy policies, with the more specific policy controlling over a general provision.
No Oumy term is intended to waive a right or duty that controlling law or a mandatory applicable platform policy does not permit JBX to waive. All exclusions, discretion, sole-remedy provisions, and liability limits in these Terms operate only to the maximum extent permitted by those controlling requirements.
3. Eligibility and United States scope
You must be at least 18 years old and legally capable of entering a contract to create an account. The Services are offered only in the United States and may be further limited by state, feature, or legal restrictions. You may not use the Services where doing so would violate law or an applicable sanctions or export restriction.
4. Accounts and security
Provide accurate, current information and keep your phone, sign-in methods, and Face ID or passcode secure. Do not share an account, impersonate another person, create deceptive duplicate accounts, or bypass limits or eligibility rules. Notify us promptly of suspected unauthorized access.
You are responsible for activity reasonably attributable to your account, but this does not make you responsible for activity caused by our security failure or a third party where law provides otherwise. We may require verification, pause activity, or suspend access to protect users, investigate abuse, comply with law, or enforce these Terms.
5. Mobile application license
Subject to these Terms, JBX grants you a personal, limited, revocable, nonexclusive, nontransferable license to install and use the Oumy app on Apple devices you own or control for personal, noncommercial use, as permitted by the Usage Rules in the Apple Media Services Terms. You may not copy, rent, sell, sublicense, distribute, reverse engineer except where law expressly permits it, bypass security, extract data through unauthorized automation, or use the app to build a competing service.
6. What Oumy is, and what it is not
Oumy helps friends and family keep money between them even. It does the math, prepares requests and reminders, opens the payment app a person chooses, and keeps a record of who has paid.
Oumy never holds, pools, receives, or moves money. Every payment happens inside a payment app or bank chosen by the person paying, under that provider's terms. JBX is not a bank, money transmitter, payment processor, lender, loan servicer, debt collector, credit bureau, or gambling operator, and is not a party to any payment, loan, or bet between users. Oumy does not guarantee that anyone will pay, that a payment app will complete a payment, or that a payment arrives.
A paid or settled status in Oumy is a record based on the evidence described in the app, such as the payee's own confirmation or a payment notification on the payee's phone. It is not proof of payment. Check your payment app or bank for the final word. If you believe a status is wrong, tell us and the other person in the app.
7. Splits, requests, and reminders
Oumy turns what you say or share into a proposal. Oumy's own code computes every share in whole cents so the shares add up exactly, and nothing is sent until you confirm it. You are responsible for reviewing each proposal and for requesting only money a person actually owes you or has agreed to pay.
Requests go out from your own Messages app by default. You are responsible for choosing who receives them and for having a real relationship with each person you contact. Each text Oumy prepares is clearly automated and names your Oumy agent. Do not use Oumy for commercial billing, debt collection, fundraising from strangers, or messages to people you do not know.
Server-enforced limits apply and may change as described in the app, including limits on request size, total open amounts per person, daily requests for new accounts, and repeated requests to someone who has not responded. Reminders follow the schedule and quiet hours shown in the app.
8. Payment handles and payment apps
You may add the payment handles where you want to be paid. You are responsible for their accuracy. A new or changed handle may be marked unverified, and a payer may see a "first payment to this handle" note. Changing a handle requires Face ID, notifies the people who owe you, and may hold new requests for 24 hours to protect against account takeover.
Venmo, Cash App, PayPal, Zelle, Apple Cash, banks, and other payment providers are independent third parties. Their terms govern every payment, including fees, limits, purchase protection, reversals, and disputes. JBX cannot cancel, reverse, or refund a payment made in another app.
9. Friend loans
Oumy can record a loan between people who know each other and remind both sides on an agreed schedule. Friend loans recorded in Oumy are 0% APR with no fees. JBX does not lend, arrange credit, set terms, collect, report to credit bureaus, or take any part of a repayment. The loan and any written agreement are between the lender and the borrower. Asking to borrow may depend on your history in Oumy, as described in the app. Limits apply, including the number of loans a person can offer each year and the maximum loan size.
10. Friendly bets and the No House Rule
Oumy can keep score of a friendly bet between people who already know each other, about a public outcome Oumy can check automatically, such as a final score or recorded weather.
The No House Rule: JBX is never the house. JBX never sets odds or lines, never takes a fee, rake, spread, or cut of any bet or pool, never holds or earns anything on stakes, never matches strangers, and never suggests or promotes betting. A bet starts only from your own words. Winners are paid directly by friends in their own payment apps.
Caps apply: $100 per person per bet, $250 open between any two people, and pools of at most 8 people at $100 each. You must declare your state, and bets or bet categories may be unavailable in some states. You are responsible for complying with the laws that apply to you. JBX may void a bet that cannot be settled from public data, that breaks these Terms, or that a state's law does not allow. Oumy Plus is required to start a bet; accepting one is free and Plus never changes how a bet is scored or settled.
11. Oumy Plus
What Plus includes. Oumy Plus provides the features described on the Plus screen at the time of purchase, such as ongoing reminders, requests to groups of any size, unlimited tabs and trips, roommate autopilot, offering friend loans, starting friendly bets, and the full sticker canvas. Splitting, sending requests, and everything a friend does in response, such as paying, accepting, or joining, stay free.
Plus week. New accounts receive 7 days of Plus at no charge and without a payment method. It ends on its own and does not convert to a paid subscription without your separate, affirmative purchase.
Billing. Plus is sold through Apple's in-app purchase system at the price shown before you buy (currently $29.99 per year in the United States). The Plus screen discloses the product, the price and billing period, that the subscription renews automatically until cancelled, and how to cancel. Your purchase is an affirmative consent to those terms, separate from your acceptance of these Terms.
Renewal. Your subscription renews automatically at the then-current price each year until cancelled. Apple charges your Apple account within 24 hours before the end of the current period. Where law requires advance notice of a renewal or price change, JBX or Apple will provide it.
Cancellation. You may cancel at any time in your Apple account's subscription settings, effective at the end of the current billing period. Cancellation requires no call, no chat, no retention offer, and no step more burdensome than subscribing. JBX will also accept a cancellation request sent to team@oumy.app with subject Cancel Plus and will process it or direct you to Apple's mechanism. Access continues through the paid period.
Refunds. Refunds for in-app purchases are handled by Apple under its policies. JBX will support a refund request and will honor any refund that law requires, including a refund required by an automatic-renewal statute where the required disclosures or consent were not provided.
Price changes. JBX may change the subscription price prospectively. A price change takes effect only after the notice and, where required, the renewed consent that law and Apple require. A price change never applies to a period already paid for.
12. Communications and text messages
You may choose push notifications and reminders in the app. Transactional or security communications may still be sent when needed to operate an account or comply with law. Push delivery depends on Apple and is not guaranteed.
A friend who opts in on a pay page may receive texts about that request from Oumy's number. Message frequency varies by request. Message and data rates may apply. Reply STOP to stop and HELP for help. Texts are not sent between 9 p.m. and 9 a.m. in the recipient's time zone. Oumy does not send SMS marketing, and mobile numbers and consent are never shared for marketing.
13. Content, trademarks, and intellectual property
The Services, original software, the Oumy name, Nova and its likeness, stickers and animations, and original content are owned by JBX or licensed to it and are protected by law. Payment-app names and marks belong to their owners and are used only to describe compatibility; their use does not imply sponsorship or endorsement.
14. Your content and feedback
You retain ownership of content you submit, such as receipts, photos, notes, and stickers you make. You grant JBX a worldwide, nonexclusive, royalty-free license to host, reproduce, format, and display that content only as needed to provide, secure, and improve the Services for you and the people you share it with.
Feedback may be used without compensation or confidentiality obligation, but JBX does not acquire ownership of your preexisting intellectual property. Do not submit unlawful, infringing, deceptive, private, unsafe, or malicious material.
15. Acceptable use
Do not:
- violate law or another person's rights;
- request money that is not owed, pressure, harass, threaten, or shame anyone;
- contact people you do not know, or use Oumy for commercial billing, collections, or fundraising;
- run a betting business, take a cut, set odds, or arrange bets with strangers;
- falsify identity, handles, receipts, payments, evidence, or outcomes;
- interfere with operation, security, access controls, rate limits, or eligibility rules;
- introduce malicious code or probe a system without written authorization;
- use bots or automation not expressly permitted; or
- harass staff or other users.
16. Third-party services
The Services depend on Apple, Supabase, Vercel, Anthropic, Telnyx, Resend, sports-data and weather providers, payment apps, and other hosting, notification, email, analytics, and security services. A third party may apply its own terms and privacy notice. JBX is responsible for its own selection, instructions, customer promises, and non-waivable duties but does not control every independent third-party system.
17. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED AS IS AND AS AVAILABLE. JBX DOES NOT WARRANT UNINTERRUPTED OPERATION, THAT EVERY THIRD-PARTY FACT OR RESULT IS ERROR-FREE, THAT ANY PERSON WILL PAY, OR THAT A PAYMENT STATUS IS CORRECT. NOTHING IN THESE TERMS EXCLUDES A WARRANTY, REMEDY, OR RIGHT THAT CANNOT LAWFULLY BE EXCLUDED.
18. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, JBX WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, LOST PROFITS, LOSS OF DATA, OR AMOUNTS OWED BETWEEN USERS, INCLUDING UNPAID SPLITS, LOANS, OR BETS, WHEN SUCH DAMAGES ARE LEGALLY EXCLUDABLE.
FOR ANY CLAIM THAT CAN LAWFULLY BE LIMITED, JBX'S AGGREGATE LIABILITY WILL NOT EXCEED THE GREATER OF $100 OR THE AMOUNT YOU PAID FOR OUMY PLUS IN THE 12 MONTHS BEFORE THE EVENT.
THESE LIMITS DO NOT APPLY WHERE PROHIBITED, INCLUDING TO LIABILITY THAT CANNOT BE LIMITED FOR PERSONAL INJURY, DEATH, FRAUD, WILLFUL MISCONDUCT, GROSS NEGLIGENCE, STATUTORY DAMAGES, PRIVACY AND SECURITY DUTIES, OR NON-WAIVABLE CONSUMER RIGHTS. SECTION 2.1 APPLIES TO EVERY EXCLUSION AND LIMIT.
19. Your responsibility for misuse
To the extent permitted by law, you will be responsible for losses and reasonable costs caused by your unlawful conduct, fraud, harassment, infringement, malicious code, or material breach of these Terms. This is not an obligation to indemnify JBX for its own negligence or for conduct that law does not allow JBX to shift to a consumer.
20. Suspension and termination
You may stop using the Services and request account deletion at any time, subject to fraud, tax, safety, dispute, and legal retention needs. When an account is deleted, its open requests are closed and friends are no longer contacted about them. Deleting Oumy does not cancel an Apple subscription and does not change what people owe each other.
To the maximum extent permitted by law, JBX may refuse service; suspend, restrict, or terminate access; void a bet; stop reminders; and block an account, device, phone number, or handle when JBX reasonably suspects automation, fraud, harassment, abuse, limit evasion, unauthorized access, false information, unlawful activity, or another violation or risk. This does not restrict a privacy-request appeal, payment dispute, regulator complaint, arbitration or court right, or other process that controlling law or a mandatory platform policy requires. Provisions that by nature should survive will survive.
21. Dispute resolution
JBX will maintain any consumer-clause registration, review, or notice process required by the then-current AAA rules. Failure to complete a required administrator process does not eliminate a non-waivable forum or remedy available under controlling law.
21.1 Informal resolution
Before filing arbitration or a court action other than an eligible individual small-claims matter or emergency injunctive request, the claimant must send a written notice describing the name, account, facts, requested relief, and contact information. Send notice by email to team@oumy.app with subject Notice of Dispute. The parties will attempt good-faith individual resolution for 30 days after receipt. Limitation periods are tolled during that period to the extent enforceable.
21.2 Individual arbitration
If unresolved, either party may elect binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules then in effect. The Federal Arbitration Act governs the arbitration provision. Texas substantive law applies except where the consumer's non-waivable home-state law controls.
The consumer may choose a remote, documents-only, or reasonably accessible consumer-location hearing as the applicable AAA rules permit. JBX will pay business-side administrative and arbitrator fees and any fee the law or AAA rules require it to pay. The arbitrator may award individual relief available in court and must provide a reasoned award upon a proper request.
21.3 Small claims and public relief
Either party may bring an eligible individual claim in small-claims court. A party may seek temporary emergency relief from a court to protect safety, security, or intellectual property pending arbitration. Rights or public injunctive relief that law says cannot be waived or arbitrated remain available in the required forum.
21.4 Class and representative waiver
To the extent enforceable, disputes proceed only on an individual basis and not as a class, collective, consolidated, coordinated, mass, private-attorney-general, or representative action. The arbitrator may award relief only to the individual claimant and only as needed for that claim. If a particular waiver is unenforceable as to a form of relief, that request is severed and decided in the legally required court after arbitrable issues are resolved.
21.5 Opt out
You may opt out of this arbitration agreement without account penalty by sending notice within 30 days after first accepting the version that contains it. Email team@oumy.app with subject Arbitration Opt Out. Include your name, account phone number, and a clear statement that you opt out. Opting out does not cancel the rest of these Terms.
21.6 Non-arbitrable venue
For a dispute not subject to arbitration or small claims, the parties consent, subject to non-waivable law, to the state or federal courts serving JBX's Texas principal place of business. Each party waives jury trial only to the extent the waiver is knowing, conspicuous, and enforceable.
21.7 Fair severability
An invalid term is severed only to the minimum extent allowed. A court may not rewrite the provision to create an unfair procedure. If the individual-action limitation is invalid for a claim that cannot be severed, the arbitration requirement does not apply to that claim.
Disputes between users about money they owe each other are between those users. JBX may help by showing the records in the app but is not a party to them.
22. Changes
We may update these Terms prospectively. The current version and effective date appear at the top. We will provide legally required notice of a material change and obtain renewed assent when required. A change does not retroactively alter an accepted subscription period or a pending dispute without lawful agreement.
23. General terms
These Terms and incorporated policies are the agreement concerning the Services. If a provision is invalid, the remaining provisions continue, subject to the dispute section's specific severability rule. No waiver is continuing. You may not assign these Terms without consent; JBX may assign them with a business transfer subject to law. Headings are for convenience. Including means including without limitation. No agency, partnership, employment, or joint venture relationship is created between a user and JBX.
24. Apple
These Terms are between you and JBX only, not Apple. Apple is not responsible for the app or its content, has no obligation to provide maintenance or support for it, and, to the maximum extent permitted by law, has no warranty obligation for it. If the app fails to conform to an applicable warranty, you may notify Apple and Apple may refund the purchase price, if any. JBX, not Apple, is responsible for addressing any claims relating to the app, including product-liability claims, claims that the app fails to meet a legal or regulatory requirement, consumer-protection claims, and intellectual-property infringement claims. You represent that you are not located in a country subject to a US Government embargo or designated as a "terrorist supporting" country, and that you are not on a US Government list of prohibited or restricted parties. Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.
25. Contact
Questions about these Terms may be sent to team@oumy.app or 281-305-9305.
